These Terms govern your use of the Caledger GST and Caledger IT desktop applications ("the Software") and this website, provided by Ledgerstack Technologies ("we", "us"). By purchasing, installing, or using the Software, you agree to these Terms.

1. Licence

On payment of the applicable fee, we grant your firm a non-exclusive, non-transferable annual licence to install and use the Software on your firm's computers for your internal professional practice. A licence is issued as an activation code bound to your firm email and machine. You may run it across your team seats over your own local network as permitted by your plan.

2. What you may not do

• Share, resell, sublicense, or distribute your activation code or the Software.
• Reverse-engineer, decompile, or attempt to defeat the licence or security mechanisms.
• Use the Software to breach any law, or any third party's rights or terms (including the GST portal's terms).

3. Fees & renewal

Licences are billed per firm, per year, in Indian Rupees, exclusive of GST. Access continues for the licence term and renews on payment of the then-current fee. Non-payment may suspend or end the licence.

4. Your responsibilities

You are responsible for your hardware, network, backups, and for the data the Software processes on your systems. The Software is a tool to assist qualified professionals; you remain responsible for reviewing its output and for all filings, reconciliations, audits and professional judgments. Caledger is not a substitute for professional advice.

5. Updates

We may provide updates that add, change, or remove features. The Software may check for and install updates automatically.

6. Intellectual property

The Software, its design, and all related IP remain ours. These Terms grant you a licence to use it, not ownership.

7. Warranty & liability

The Software is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim implied warranties, and our total liability arising from the Software or these Terms is limited to the licence fee you paid in the preceding twelve months. We are not liable for indirect or consequential losses, or for any error, penalty, or filing outcome that results from data you provided or output you did not review.

8. Termination

You may stop using the Software at any time. We may suspend or end a licence for breach of these Terms. On termination, your right to use the Software ends.

9. Governing law

These Terms are governed by the laws of India, with courts at Bengaluru, Karnataka having exclusive jurisdiction.
